Terms of service

1. Agreement to terms
These terms govern your use of SoundLocal ("Service"), operated by Squared Sums Pte Ltd ("we", "us", "our"), a company registered in Singapore at 160 Robinson Road, #14-04 SBF Centre, Singapore 068914. By accessing or using the Service you agree to be bound by these terms. If you do not agree, do not use the Service.
2. What SoundLocal does
SoundLocal is a language-learning service that provides AI-generated translations and explanations, conversation, vocabulary, and grammar study tools, text-to-speech audio, and support for many languages, delivered through our website and mobile apps.
3. Eligibility
You must be at least 13 years old to use the Service and to create an account. If you are under the age of majority in your jurisdiction, you confirm that a parent or legal guardian has reviewed and agreed to these terms on your behalf.
4. Account
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information and to keep it up to date.
5. Subscriptions and billing
5.1 Web subscriptions
Web subscriptions are billed by Stripe on a recurring basis at the price displayed at checkout. You can manage or cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period.
5.2 Apple App Store subscriptions
Subscriptions purchased through the iOS app are billed to your Apple ID. Subscriptions automatically renew at the same price unless you cancel at least 24 hours before the end of the current period. Renewals are charged within 24 hours prior to the end of the current period. You can manage and cancel subscriptions only through your App Store account settings. There is no proration for cancellation mid-period.
5.3 Google Play subscriptions
Subscriptions purchased through the Android app are billed by Google Play. Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period. You can manage and cancel subscriptions through Google Play.
5.4 Free trials
Where a free trial is offered, the subscription will automatically convert to a paid subscription at the then-current price unless you cancel before the trial ends.
5.5 Refunds
App Store and Google Play purchases are subject to the refund policy of the respective platform. Stripe purchases may be refunded by us within 14 days of payment on a case-by-case basis.
6. AI-generated content
Outputs (translations, explanations, audio) are generated by third-party AI models and may be inaccurate, incomplete, or biased. The Service is not a substitute for professional translation, legal, medical, or other professional advice. You are responsible for evaluating outputs before relying on them.
7. Acceptable use
You agree not to:
- Use the Service for unlawful, fraudulent, or harmful purposes.
- Submit content that infringes the rights of others or violates applicable law.
- Attempt to interfere with, reverse engineer, or compromise the security of the Service.
- Use automated means to access the Service except as expressly permitted.
8. Your content
You retain ownership of the content you submit to the Service. You grant us a worldwide, non-exclusive, royalty-free license to host, process, and transmit that content as necessary to operate, maintain, and improve the Service, including by sending it to third-party AI providers for processing.
9. Intellectual property
The Service, including its software, design, trademarks, and content created by us, is owned by Squared Sums Pte Ltd and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes in accordance with these terms.
10. Limitation of liability
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, to the maximum extent permitted by law. To the maximum extent permitted by law, our aggregate liability arising out of or relating to these terms or the Service is limited to the amount you paid us in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.
11. Termination
We may suspend or terminate your access to the Service if you breach these terms, engage in fraudulent or abusive activity, or fail to pay applicable fees. You may stop using the Service at any time by closing your account.
12. Changes to these terms
We may update these terms from time to time. Material changes will be communicated through the Service or by email. Continued use of the Service after changes take effect constitutes acceptance of the updated terms.
13. Governing law and disputes
These terms are governed by the laws of Singapore. The courts of Singapore have exclusive jurisdiction over any dispute arising out of or relating to these terms or the Service, except that we may seek injunctive relief in any court of competent jurisdiction.

App Store EULA addendum
The following additional terms apply when you obtain SoundLocal through the Apple App Store. They supplement, and in case of conflict prevail over, the terms above for App Store users.
15. Acknowledgment
This agreement is between you and Squared Sums Pte Ltd only, and not with Apple Inc. ("Apple"). Apple is not responsible for the Service or its content. Apple has no obligation to provide any maintenance or support services for the Service.
16. Scope of license
The license granted to you for the Service is a non-transferable license to use the Service on any Apple-branded products that you own or control, subject to the Usage Rules set forth in the Apple Media Services Terms and Conditions, including any Family Sharing provisions.
17. Maintenance and support
Squared Sums Pte Ltd is solely responsible for providing any maintenance and support services with respect to the Service, as required under applicable law or as we may specify. Apple has no obligation whatsoever to furnish any maintenance and support services for the Service.
18. Warranty
Squared Sums Pte Ltd is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the Service to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the Service to you. To the maximum extent permitted by applicable law, Apple has no other warranty obligation whatsoever with respect to the Service, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty are the sole responsibility of Squared Sums Pte Ltd.
19. Product claims
Squared Sums Pte Ltd, not Apple, is responsible for addressing any claims by you or any third party relating to the Service or your possession or use of the Service, including: (a) product liability claims; (b) any claim that the Service fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy, or similar legislation.
20. Intellectual property rights
In the event of any third-party claim that the Service or your possession and use of the Service infringes that third party's intellectual property rights, Squared Sums Pte Ltd, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
21. Legal compliance
You represent and warrant that (a) you are not located in a country that is subject to a US Government embargo, or that has been designated by the US Government as a "terrorist supporting" country, and (b) you are not listed on any US Government list of prohibited or restricted parties.
22. Third-party terms
You must comply with applicable third-party terms of agreement when using the Service (for example, your wireless data service agreement).

24. Third-party beneficiary
You and Squared Sums Pte Ltd acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of these terms, and that, upon your acceptance of these terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these terms against you as a third-party beneficiary thereof.
